Contract Elements

Your contracts with Humanetics for the purchase of products and services are typically comprised of three building blocks 

Base Terms - UCA

The Universal Customer Agreement (UCA) sets forth base terms for all our products and services, including on-premises software, hardware, maintenance, support, cloud services, and any combination of the foregoing.

Supplemental Terms

The Supplemental Terms set out the license models, applicable maintenance, support terms, and other portfolio-related or use case-specific terms. Applicable terms are identified on the order form by unique alphanumeric codes.

Order Form

The order form is the commercial transaction document. It links to the other applicable parts of the contract (e.g., Base Terms, Applicable Supplemental Terms).

Universal Customer Agreement (UCA)

The Universal Customer Agreement (UCA) sets forth base terms for all our products and services, including on-premises software, hardware, maintenance, support, cloud services, and any combination of the foregoing. All Offerings (as defined in the UCA) provided under the UCA are also subject to Humanetics’ Data Processing Terms, Privacy Policy, and Terms of Use. 


 

Software-as-a-Service Solution (SaaS)

A model of software deployment in which the software is hosted and maintained by a service provider or vendor, delivered as a service over the internet to customers on a subscription or pay-as-you-go basis, and accessed via a browser or dedicated application. The customer does not own the software but is granted a limited license to use it according to the terms of the agreement.

Below are the agreements that will be included with a SaaS Offering with Humanetics.

On-Premise Software (Perpetual with ME&S or Subscription)

Software that is installed, deployed, and executed on the customer's own hardware, servers, or computing infrastructure located at the customer's premises or facilities, or within a private environment controlled by the customer. The software may be licensed under a perpetual license, granting ongoing rights to use the software, or under a subscription license, providing time-limited access to the software. The customer is typically responsible for installation, maintenance, updates, and security unless otherwise specified in the agreement."

Below are the agreements that will be included with an On-Premise Perpetual Software with ME&S or a Subscription Agreement with Humanetics.

Professional Services

Services provided by a Humanetics that involve specialized knowledge, expertise, or skills for the purpose of delivering customized work or solutions, including but not limited to consulting, training, implementation, commissioning, integration, customization, support or other related services. These services may include the development or delivery of tailored materials, programs, or processes designed to meet the specific needs or requirements of the customer as outlined in the applicable agreement or statement of work (SOW). The ownership, usage rights, and deliverables arising from such professional services, including intellectual property, shall be governed by the terms specified in the agreement.

Below are the types of agreements that will be included with a Professional Service Agreement with Humanetics.

Hardware and Embedded Agreement

An agreement governing the sale, licensing, or provision of hardware (physical equipment, devices, or machinery) and any software embedded within the hardware that enables its operation or functionality. Embedded software, also referred to as firmware, is integrated into the hardware and typically pre-installed or delivered as part of the hardware product. The agreement outlines the terms of ownership, licensing, usage rights, updates, support, warranties, and intellectual property rights related to the hardware and embedded software. Embedded software is generally non-separable from the hardware and may be licensed under specific conditions rather than sold outright. Unless explicitly stated otherwise, the customer’s rights to the embedded software are limited to its operation in conjunction with the associated hardware.

Below are the types of agreements that will be included with a Hardware Agreement with Humanetics.

Evaluation Agreements

The Evaluation Agreement is a legally binding contract under which a Humanetics (licensor) grants a customer (evaluator) a limited, non-exclusive, non-transferable, and revocable right to use specific products, software, hardware, or services for a defined period, solely for the purpose of internal testing, evaluation, and non-commercial purposes to determine suitability for future purchase or licensing. The agreement establishes restrictions on use, confidentiality, ownership of intellectual property, and disclaimers of warranties and liabilities.  Humanetics evaluation licenses offer users temporary access to the full version of the software.
